Terms of Service

By accessing or using Modus you confirm that you are at least 18 years old, have the legal capacity to enter into contracts in your jurisdiction, and agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

Modus is a cloud-based business management platform that includes modules for:

• Intra — HR, payroll integration, attendance, and leave management
• Atlas — Project and task management
• Prompto — AI prompt management and automation
• Additional modules made available from time to time

We reserve the right to modify, suspend, or discontinue any feature or module with reasonable notice.

Each organisation registers a Workspace identified by a unique URL slug. The person who completes registration is the Workspace Admin and is responsible for:

• All activity within the workspace, including actions by invited members
• Maintaining the confidentiality of login credentials
• Ensuring all users comply with these Terms

You must provide accurate and complete information during registration and keep it up to date. We may suspend accounts that contain false or misleading information.

You agree not to:

• Use the Service in violation of applicable Indonesian law or international regulations
• Upload or transmit malicious code, spam, or illegal content
• Attempt to gain unauthorised access to other workspaces or our infrastructure
• Resell or sublicense the Service without our prior written consent
• Reverse engineer, decompile, or extract source code
• Use the Service to infringe intellectual property rights of any third party
• Conduct load tests or stress tests without our prior written approval

We may suspend or terminate access immediately for violations of this section.

Certain features require a paid subscription. All payments are processed by Stripe, Inc., our third-party payment processor. By providing payment information you agree to Stripe's Services Agreement.

• Billing cycle: Subscriptions are billed monthly or annually in advance
• Free tier: Workspaces with 20 or fewer active employees may use Modus at no charge, subject to fair-use limits
• Upgrades: Upgrades take effect immediately; the prorated difference is charged at the next billing date
• Downgrades: Downgrades take effect at the end of the current billing period
• No refunds: Payments are non-refundable except where required by Indonesian consumer protection law or at our sole discretion
• Taxes: Prices are exclusive of PPN (Value Added Tax) and other applicable Indonesian taxes, which may be added to your invoice

We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.

Our IP. The Modus platform, brand, software, and all related materials are owned by PT Tri Developer Makmur and protected by Indonesian and international intellectual property laws. These Terms do not grant you any ownership interest.

Your IP. You retain all rights in data, content, and files you upload to Modus ("Customer Data"). You grant us a limited licence to process, store, and transmit Customer Data solely to operate the Service.

Feedback. Any feedback, suggestions, or feature requests you submit may be used by us without obligation or compensation.

We process Customer Data as a data processor acting on your instructions. You are the data controller for any personal data of your employees or contacts stored in your workspace. Our obligations regarding Customer Data are set out in our Privacy Policy and, for enterprise customers, any applicable Data Processing Agreement.

Upon termination you may export your data for 30 days. After that period we may delete Customer Data from our systems in accordance with our retention schedule.

Modus integrates with third-party providers to deliver the Service. We are not responsible for the availability, accuracy, or practices of these providers. Their use is subject to their own terms and privacy policies:

• Supabase — database hosting and authentication (data storage and user authentication)
• Stripe — payment processing
• Sentry — application error monitoring
• PostHog — product analytics

Links to third-party websites within the Service are provided for convenience only and do not constitute an endorsement.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• Any defects will be corrected
• The Service meets your specific business requirements

To the maximum extent permitted by Indonesian law, PT Tri Developer Makmur shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total cumulative liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) IDR 500,000 (five hundred thousand Rupiah).

Some jurisdictions do not allow the limitation of liability for certain types of damages; in such cases our liability is limited to the fullest extent permitted by law.

By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, your right to use the Service ceases. Sections 6, 7, 9, 10, and 12 survive termination.

These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Jakarta, Indonesia.

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within the Service at least 14 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.
